Terms and Conditions

Welcome to XXX.org!

XXX.org is an online service that allows users to create, view and follow visual collections (the "Services") via our website; accessible at www.XXX.org (the "Site").

The Site allows for pinning, uploading, sharing and general viewing of various types of content, permitting both registered and unregistered users to share and view visual depictions of adult content, including sexually explicit images and video. Furthermore, XXX.org contains picture & video content, information and other materials posted or /uploaded by various users.

Please carefully read the subsequent terms and conditions, ("Terms") and our Privacy Policy, which can be accessed at http://www.xxx.org/static/privacy policy/. These Terms will govern your access to, and use of, the Site, Services and all Site Content (as defined below), and create and constitute a binding legal agreement between you and XXX.org. Key Terms related to Content

"Content" refers to text, graphics, images, music, software, audio, video, information or other materials.

"XXX.org Content" refers and applies to all Content made available by XXX.org through the Site, Application, Feature or Service, including any Content licensed from a third party, but excluding Member Content.

"Member" refers and applies to a person that has completed completes XXX.org's account registration process, as described and explained in further detail under "Account Registration," which is outlined in detail below.

"Member Content" refers and applies to all Content that a Member posts, uploads, publishes, submits, broadcasts or transmits to be made accessible or available through the Site, Application, Feature or Services.

"Site Content" refers to Member Content and XXX.org Content.

Certain areas of the Site (and subsequently your access to or use of certain Services or Site Content) may have different terms and conditions posted, or may require you to agree with and accept additional terms and conditions. In the event there is a conflict between these Terms and the terms and conditions posted for a specific area of the Site, Services or Site Content, the latter terms and conditions will take precedence with regard to your use of or access to that area of the Site, Services or Site Content.

YOU HEREBY ACKNOWLEDGE AND AGREE THAT BY ACCESSING OR USING THE SITE, APPLICATION, FEATURES OR SERVICES, OR BY POSTING ANY MEMBER CONTENT TO THE SITE OR THROUGH THE SERVICES, YOU ARE INDICATING THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THESE TERMS, WHETHER OR NOT YOU HAVE REGISTERED WITH THE SITE. Upon acceptance of these Terms on behalf of a company or other legal entity, you are warranting and representing that you have the legal authority to bind that company or other legal entity to these Terms, and that "you" and "your" will hereby refer and apply to that company or other legal entity you represent.

Modification

XXX.org reserves the right, at its sole discretion, to adjust, modify, discontinue or terminate the Site or Services, or to modify these Terms at any time and without prior notice. Upon modification of these Terms, we will post the modification on the Site or through the Application or provide you with notice of the modification. As such, we will also update the "Last Updated Date" at the beginning of these Terms. Continuing to access or use the Site or Services after we have posted a modification on the Site, is an indication that you agree to the modified Terms. Should you deem the modified Terms unacceptable, your only recourse is to cease use of the Site and all related Services.

How XXX.org Works

After you have chosen to create an Account (defined below) to become a registered Member of XXX.org, you may use the Services to create, view, share and follow visual collections. To compose a visual collection, you may choose to (i) upload images from your computer by choosing the "Add a Pin" section of the Site, (ii) use the Application to take and upload images, or (iii) install and use XXX.org's "Pin It" browser toolbar add-on to upload images by following the instructions set forth on the "About" section of the Site. Please note that your visual collections will be made publicly accessible and viewable to any and all visitors to the Site. In the event you choose to follow the visual collections of other Members of the Site, you may search for other visual collections via the Site and choose the option to "Follow" such Members.

Eligibility

In order to use XXX.org, you affirm and guarantee that you are at least eighteen (18) years of age and/or of legal required age in the jurisdiction or country you reside in and from which you access the Site. If you are under the age of 18, and/or under the legal required age in the jurisdiction you reside in and from which you access the Site, then you are not permitted to use or access the Site and must navigate away immediately.

Account Registration

In order to access certain features of the Site and Services, and to upload or post any Member Content on the Site or through the Services, you must register with XXX.org to create an account ("Account"). Except as expressly noted provided in these Terms, XXX.org and its licensors exclusively own all right, title and interest in and to the Site, Services and Site Content, including all associated intellectual property rights. You agree will not to remove, change, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Site, Services or Site Content.

XXX.org Content and Member Content License

Subject to your compliance with the terms and conditions of these Terms, XXX.org grants you a limited, non-exclusive, non-transferable license, without the right to sublicense, to access, view, download and print any XXX.org Content solely for your personal and non-commercial purposes. Subject to your compliance with the terms and conditions of these Terms, XXX.org grants you a limited, non-exclusive, non-transferable license, without the right to sublicense, to access and view any Member Content solely for your personal and internal business purposes. Member Content

We may, in our sole discretion, allow permit Members to post, upload, publish, submit or transmit Member Content. By making available any Member Content through the Site or Services, you hereby grant to XXX.org a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license, with the right to sublicense, to use, copy, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, access, view, and otherwise exploit such Member Content only on, through or by means of the Site or Services. XXX.org does not claim any ownership rights in any such Member Content, and nothing in these Terms will be deemed to restrict any rights that you may have to use and exploit any such Member Content.

You hereby acknowledge, accept and agree that you are solely responsible for all Member Content that you make available through the Site and Services. Accordingly, you represent and warrant that: (i) you either are the sole and exclusive owner of all Member Content that you make available through the Site and Services or you have all rights, licenses, consents and releases that are necessary to grant to XXX.org the rights in such Member Content, as contemplated under these Terms; and (ii) neither the Member Content nor your posting, uploading, publication, submission or transmittal of the Member Content or XXX.org's use of the Member Content (or any portion thereof) on, through or by means of the Site and the Services will infringe, misappropriate or violate a third party's patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law, rule or regulation.

You shall be personally and solely responsible for any and all of your own Member Content and the subsequent consequences of posting, uploading and publishing them. Furthermore, with Member Content, you affirm, represent and/or warrant that you own or retain the required necessary licenses, rights, consents, and permissions to use and authorize XXX.org to use all trademarks, copyrights, trade secrets, patents, or other proprietary rights in and to any and all Member Content to enable inclusion and use of the Member Content in the manner contemplated by the Site and these Terms.

You agree not to that you will not post, or allow anyone else to post, any Member Content that depicts any person under the age of 18 years, and that you have inspected and are maintaining written documentation sufficient to confirm that all subjects are, in fact, over the age of 18 years. You have the written consent, release, and/or permission of each and every identifiable individual person in the Member Content to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of the Member Content in the manner contemplated by the Site and these Terms.

You agree that you will not (nor others using your account) post, upload, publish, transmit or make available in any way on XXX.org content which is illegal, unlawful, harassing, harmful, threatening, tortuous- [is this supposed to be 'torturous'?], abusive, defamatory, obscene, illegal, unlawful, libelous or invasive of one's privacy, including but not limited to, personal information or hateful or racial speech. You also agree that you shall not post, upload, publish, transmit or make available in any way on XXX.org software containing viruses or any other computer code, files, or programs designed to destroy, interrupt, limit the functionality of, monitor, or persistently reside in or on any computer software or hardware or telecommunications equipment. You hereby affirm and agree that you shall and will not (nor others using your account) post, upload, publish, transmit or make available in any way on XXX.org content which is intentionally or unintentionally in violation of violating any applicable local, state, national, or international law, or any regulations, rules or laws having the force of law where you reside and elsewhere, including but not limited to any laws or regulations relating to securities, privacy, and export contro. Child pornography, bestiality, rape, torture, snuff, death and/or any other type of obscene and/or illegal material will not be tolerated in any way, shape or form by XXX.org. XXX.org will report and cooperate to the fullest extent with all governmental agencies that seek those who distribute, produce or endorse child pornography.

Termination and Account Cancellation

All trademarks, service marks, logos, trade names and any other proprietary designations of XXX.org used herein are trademarks or registered trademarks of XXX.org. Any other trademarks, service marks, logos, trade names and any other proprietary designations are the trademarks or registered trademarks of their respective owners or parties.

Controlling Law and Jurisdiction

These Terms and any action related thereto will be governed by the laws of New Jersey, USA without regard to its conflict of laws or provisions. The exclusive jurisdiction and venue of any action with respect to the subject matter of these Terms will be the state and federal courts located in the State of New Jersey, USA and each of the parties hereto waives any objection to jurisdiction and venue in such courts.

Entire Agreement

These Terms constitute the entire and exclusive understanding and agreement between XXX.org and you regarding the Site, Services, Site Content, and Member Content and these Terms supersede and replace any and all prior oral or written understandings or agreements between XXX.org and you regarding the Site, Services and Content.

Assignment

You may not assign or transfer these Terms under any circumstance, by operation of law or otherwise, without XXX.org's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. XXX.org may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the aforementioned, foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

Notices

Any notices or other correspondences or communications allowed, permitted or required hereafter, including those regarding modifications or updates to these Terms, will be in writing and given by XXX.org (i) via email (in each case to the email address provided by youthat you provide) or (ii) by posting a notice to the Site. General

The failure of XXX.org to enforce any right or provision of these Terms will in no way not constitute or create a waiver of future enforcement of that right or provision.
